Coverage policy and transaction taxonomy
The repository defines its coverage rules before attempting a complete index for any year. A transaction is published only after its completion has been verified against multiple sources.
Transaction taxonomy
Every record is classified into exactly one category. The classification drives which sections of the analysis template apply.

SPAC policy
A completed de-SPAC receives one integrated analysis, not two. Treating the SPAC IPO and the business combination as separate pages fragments the economics that matter — promote, trust, redemptions, PIPE and dilution only make sense end to end.
- The analysis begins with the SPAC’s formation and original IPO S-1.
- It continues through the target search, announcement, S-4/F-4 or proxy process, financing, vote, redemptions, closing, Super 8-K/Form 10 information and post-closing performance.
- The original SPAC IPO does not ordinarily receive a separate standalone page.
- A SPAC that liquidates without completing a business combination is omitted, unless it is independently important to the repository.
Completion test
A filed registration statement does not prove that a transaction closed. An S-1 may be withdrawn; a 424B4 may relate to a follow-on rather than an IPO; an announced merger may never close; a de-SPAC may change structure repeatedly. Discovery may begin with form types, but publication requires a completion test supported by multiple sources.
IPO evidence package
A publishable IPO record reconciles:
- S-1 or F-1.
- Material amendments.
- SEC effectiveness.
- Final 424B4 prospectus.
- Form 8-A or other Exchange Act registration.
- Exchange or issuer confirmation of first trading.
- Closing or proceeds disclosure.
De-SPAC evidence package
A publishable de-SPAC record reconciles:
- Original SPAC S-1 and 424B4.
- Sponsor and private-placement economics.
- Merger agreement and amendments.
- S-4/F-4, proxy or tender-offer materials.
- PIPE, backstop, forward-purchase and non-redemption agreements.
- Shareholder vote.
- Redemption result.
- Completion Form 8-K or foreign-issuer equivalent.
- Form 10 information for the combined company.
- New ticker and first post-combination trading date.
Until the package reconciles, a record may exist with completion_verified: false but is not
published as a completed transaction.
Date policy
A transaction has several relevant dates, and collapsing them into one ambiguous “transaction date” destroys information. Each record stores them separately, and any field that does not apply to a transaction type is simply omitted:

Index pages sort on a derived key — first trading, then de-SPAC completion, legal closing, pricing — but the underlying dates are always preserved individually.
Where filings disagree about a date, the analysis states both, adopts one convention explicitly and explains why. The Bob’s Discount Furniture page contains a worked example: the Form 10-K’s use-of-proceeds disclosure and a financial-statement note give different IPO completion dates.
Research-status labels
Status and the last-verified date appear prominently on every page.

Maintenance
Published pages are updated at one, three, six and twelve months after the transaction, and after material filings — earnings, follow-on offerings, insider sales, restatements, delisting or acquisition. Every substantive change is recorded in the page’s revision history.
